1. Scope and Provider

These Terms of Service ("Terms") govern the use of the zwrm cloud platform ("Platform") provided by ascenue GmbH, Christaweg 42, 79114 Freiburg, Germany ("zwrm", "we", "us").

By creating an account or using the Platform, you agree to these Terms. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Platform Description

zwrm provides a cloud platform for deploying and managing applications using microVM-based infrastructure within the European Union. Services include compute resources, managed databases, persistent storage, networking, and related developer tools.

3. Account Registration

To use the Platform, you must create an account with a valid email address. You are responsible for:

Providing accurate and current account information
Maintaining the security of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

4. Trial Period

We may offer a free trial period for new accounts. During the trial:

Access to Platform features may be limited
We may impose usage quotas
We reserve the right to terminate trial accounts at any time
No payment information is required during the trial

5. Acceptable Use

You agree not to use the Platform to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of third parties
Distribute malware, spam, or other harmful content
Attempt to gain unauthorized access to our systems
Conduct cryptocurrency mining without prior approval
Store or process data in violation of GDPR or applicable data protection laws
Engage in any activity that disrupts or degrades the Platform

We reserve the right to suspend or terminate accounts that violate these terms.

6. Customer Data

You retain all rights to your data. We process your data solely to provide the Platform services and in accordance with our Privacy Policy and any applicable Data Processing Agreement (DPA).

We do not access your application data except as necessary to provide the service, respond to support requests, or comply with legal obligations.

7. Service Levels

We aim to provide high availability but do not guarantee specific uptime percentages during the trial period. For production workloads, enterprise SLA agreements are available upon request.

8. Pricing and Payment

Pricing is published on our pricing page. We reserve the right to change pricing with 30 days' notice. Payment terms:

Fees are charged in advance on a monthly or annual basis
All prices are in EUR and exclude VAT where applicable
Late payments may result in service suspension after 14 days' notice

9. Data Protection

We process personal data in accordance with GDPR. Key commitments:

All data is stored and processed within the EU
We are an EU-registered entity, not subject to the US CLOUD Act
A DPA/AVV is available on request

10. Intellectual Property

The Platform, including its software, design, and documentation, is owned by zwrm and protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Platform as described herein.

11. Limitation of Liability

To the maximum extent permitted by law:

Our total liability is limited to the fees paid by you in the 12 months preceding the claim
We are not liable for indirect, incidental, or consequential damages
We are not liable for loss of data resulting from your failure to maintain backups

These limitations do not apply to liability for intent or gross negligence, or where mandatory law provides otherwise.

12. Termination

Either party may terminate these Terms:

You may delete your account at any time
We may terminate with 30 days' written notice
We may terminate immediately for material breach of these Terms

Upon termination, your data will be retained for 30 days, after which it will be permanently deleted.
